Job Description

Position Description . We are looking for an experienced paralegal with a broad contracts management background, particularly with experience in trademark licensing. In this role, you will draft and review license agreements and other commercial arrangements, advise and assist internal business teams, liaise with outside counsel, coordinate with counterparties’ legal teams, improve internal processes and produce high quality deliverables. This role has high interaction with the Magazine and Brand Licensing business teams, both domestically and internationally. Key to success in this role will be the oversight and management of an efficient and effective system of drafting, managing, tracking and filing contracts in our electronic database.

Job Description: The Contracts Manager will perform complex paralegal, administrative and analytical functions requiring reasonable independent judgment and discretion in support of all steps of the contract lifecycle. The Contracts Manager will support business teams and in house and outside legal counsel and will have direct contact with external clients. The Contracts manager will play a key role in supporting the Company’s growth by working on a wide array of documents, operational initiatives and other contractual administrative activities, all in a fast-paced environment, and, in each case, while ensuring corporate guidelines and ethical standards are consistently met.

Major Areas of Responsibilities

Assists in the preparation of contracts and manages database workflow items for contracts Ability to review, understand, evaluate and provide guidance on large, complex contracts and a variety of other documents based on corporate guidelines and input from various stakeholders of the Company, and ability to identify, analyze, and provide guidance on main ideas, potential business and legal risks involved, and areas where additional information, coordination, guidance, review or approval is needed from others Reviews deal memos or term sheets, specifications and statements of work for changes in contract terms and contract renewals Works collaboratively with in-house and outside counsel, internal stakeholders, agents, licensees and vendors to drive resolution for issues related to contracts management Review and verify the accuracy of contract administration Develop and implement process improvement strategy Analyze and resolve reporting and process issues Ensure that all assigned activities are completed in an accurate and timely manner All other related and/or additional responsibilities that may be required or assigned. Strong attention to detail, high level of analytical skills and problem-solving skills, ability to learn new concepts quickly, and adaptability to changing environment and international developments. Ability to develop and maintain knowledge of an organization’s operations, corporate values and ethics and business goals, and ability to use that knowledge to identify, evaluate and address both business and legal opportunities and risks as they pertain to the Company. High degree of initiative (including, but not limited to, prompt responsiveness to various stakeholders and in drafting required documentation), organization and prioritization in approach to professional responsibilities, including dependability and timeliness, and ability to work independently with minimal supervision Personal aptitude to thrive in a dynamic, fast-paced environment, and to manage multiple, concurrent responsibilities and competing demands with sound judgment and diplomacy

Requirements of the Role:

Bachelor’s degree. 7-10 years of paralegal experience and contract administration Knowledge of licensing agreements, and basic copyright and trademark matters as they pertain to entertainment and licensing Strong organizational & analytical skills Excellent oral and written communication skills Ability to function effectively in a hybrid and ever-evolving environment Ability to problem-solve, multi-task, prioritize, take initiative and adapt to a fast paced and changing business environment Team player, works well with others and is willing to learn from mistakes and implement guidance effectively Experience in a law firm or in-house legal department preferred Experience managing contracts and extensive experience working with a contract management system High level of integrity and professionalism Ability to establish strong relationships with peers, customers and partners to achieve optimal results Detail-oriented, accurate with respect to contracts and licensing documents
